1. Acceptance of Terms

BY CHECKING THE BOX INDICATING YOUR AGREEMENT TO THESE TERMS OF SERVICE ("TERMS") AND OUR PRIVACY POLICY, YOU ACKNOWLEDGE THAT YOU HAVE READ, ACCEPTED, AND AGREE TO BE BOUND BY THIS AGREEMENT WITH SELF SYSTEMS, INC. ("WE," "US," OR "OUR"). YOU MUST BE AT LEAST 18 YEARS OF AGE TO USE OUR SERVICES. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CREATE AN ACCOUNT OR USE THE SERVICE.

These Terms and the Privacy Policy govern your use of the Temi platform. To receive telehealth services, you must also separately consent to the Telehealth Consent and acknowledge the Medical Privacy Notice issued by Temi Medical Group. Those are separate agreements and notices between you and Temi Medical Group, not Self Systems, Inc.

2. Description of Services

Temi is a technology platform operated by Self Systems, Inc. that connects patients with licensed healthcare providers for telehealth consultations. Self Systems, Inc. does not provide clinical care and does not practice medicine. Self Systems, Inc. does not control or interfere with the practice of medicine by Temi Medical Group or its physicians, each of whom is solely responsible for directing the medical care provided to you. Clinical services are provided through Temi Medical Group, the professional medical entities through which licensed physicians render care to patients in the states where Temi operates. The professional medical entity that contracts with you depends on the state in which you receive services. Clinical services are governed by the Telehealth Consent.

Self Systems, Inc. may handle health-related information to operate the platform and is contractually required to protect it consistent with applicable confidentiality laws and our notices.

3. Eligibility

You must meet all of the following requirements to use Temi:

  • You are at least 18 years of age.
  • You are a resident of the United States.
  • You are located in a state where Temi's services are currently available.

4. Your Account

You agree to provide accurate, current, and complete information when creating your account and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Each person may maintain only one account. You agree to notify us immediately of any unauthorized use of your account.

5. Payment and Refunds

Temi is a cash-pay service. By using Temi, you are choosing to obtain products and services on a cash basis outside of any federal or state healthcare program (such as Medicare or Medicaid) or commercial payer. Neither you nor Self Systems, Inc. will submit a claim for reimbursement to any such program for the costs of services provided through Temi. Payments are processed by a third-party payment processor; Self Systems, Inc. does not store your full payment-card number.

Your purchase involves two separate charges. At checkout you pay only the annual Membership Fee, if you join, or the per-prescription fee, if you do not; paying it does not guarantee that a prescription will be issued. The cost of your medication is a separate charge, made only if and when a Temi physician approves your prescription, and processed off-session using the payment method you provided at checkout. If your prescription is not approved, you are not charged for the medication.

5.1. Non-Member Prescription Fee

If you are not a member, you pay a prescription fee per prescription request ("Prescription Fee"). The Prescription Fee is charged when you check out and covers the physician's review of one prescription request. It does not include the cost of any medication and does not guarantee that a prescription will be issued.

5.2. Membership

You may instead subscribe to a Temi membership per year ("Membership Fee"). Membership waives the Prescription Fee and the non-member medication surcharge, and covers physician review of your prescription requests for non-controlled medications and the related ongoing care described in the Telehealth Consent. Membership does not include the cost of medication and does not guarantee that a prescription will be issued.

Billing and automatic renewal. YOUR MEMBERSHIP IS AN ANNUAL SUBSCRIPTION THAT RENEWS AUTOMATICALLY. THE MEMBERSHIP FEE OF $139.00 PER YEAR IS CHARGED TO YOUR PAYMENT METHOD WHEN YOU SUBSCRIBE AND ON EACH ANNUAL RENEWAL DATE THEREAFTER, UNTIL YOU CANCEL. YOU MUST CANCEL BEFORE A RENEWAL DATE TO AVOID BEING CHARGED FOR THE NEXT YEAR.

Renewal reminder. Before each annual renewal, we will send a reminder to the email address on your account, within the time required by applicable law.

Cancellation. You may cancel your membership at any time through your account settings, by emailing [email protected], or by calling +1 (855) 554-3030. Cancellation takes effect at the end of your current billing cycle; you retain access through the end of the period you have already paid for.

Price changes. If we change the Membership Fee, we will give you at least thirty (30) days' notice before the change takes effect. You may cancel within that notice period without paying the new price.

Failed payment. If a Membership Fee payment fails, we will attempt to notify you and may suspend access to membership features until payment is resolved.

5.3. Medication Costs and Authorization

Neither the Prescription Fee nor the Membership Fee includes the cost of medication. If a Temi physician approves and issues a prescription, a separate medication charge ("Medication Fee") applies. If you are not a member, a surcharge applies to the medication cost; members do not pay this surcharge.

BY CHECKING OUT, YOU AUTHORIZE SELF SYSTEMS, INC. TO CHARGE THE PAYMENT METHOD YOU PROVIDED FOR THE MEDICATION FEE, OFF-SESSION, IF AND WHEN A TEMI PHYSICIAN APPROVES YOUR PRESCRIPTION. THE MEDICATION FEE IS DISCLOSED TO YOU BEFORE YOU CHECK OUT. IF YOUR PRESCRIPTION IS NOT APPROVED, NO MEDICATION FEE IS CHARGED.

For a prescription you choose to fill at a pharmacy of your choice rather than through Temi's partner pharmacy, you pay that dispensing pharmacy directly and no Medication Fee is charged by Self Systems, Inc.

5.4. Refunds

Clinical denial. If the treating physician declines to issue a prescription for any clinical reason, no Medication Fee is charged. If you are a member, your Membership Fee is not affected and your membership remains active. If you are not a member, the Prescription Fee for that request is refunded in full.

Membership. Membership Fees already charged for the current billing cycle are not refunded on cancellation, except as required by applicable law. You retain access through the end of the period you have already paid for.

Medication — Temi partner pharmacy. Once a Medication Fee has been charged and the order has been transmitted to the partner pharmacy for dispensing, the Medication Fee is not refundable. If you have a billing concern about a Medication Fee, contact [email protected].

Medication — pharmacy of your choice. When you fill a prescription at a pharmacy of your choice, payment and any refund are between you and that pharmacy. Self Systems, Inc. is not in the medication-payment flow and does not handle refunds for those medications.

5.5. Service Availability

Temi's services are available only to individuals physically located in a state where Temi operates at the time they receive care. The current list of those states is published at usetemi.com/states. Service availability may change; prescription requests submitted from a state where Temi does not operate will be declined, and any Prescription Fee charged for such a request will be refunded.

6. Not for Emergencies

TEMI IS NOT AN EMERGENCY MEDICAL SERVICE. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO YOUR NEAREST EMERGENCY ROOM IMMEDIATELY. DO NOT USE TEMI TO SEEK TREATMENT FOR URGENT OR EMERGENCY MEDICAL CONDITIONS.

7. Intellectual Property

The Temi platform, including its design, text, graphics, logos, trademarks, software, and other content, is owned by Self Systems, Inc. or its licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your personal health purposes, subject to these Terms.

You may not copy, modify, distribute, sell, or lease any part of the platform, nor may you reverse-engineer or attempt to extract the source code of any software, except as permitted by law.

8. User Content

You retain ownership of the information you submit through the platform ("User Content"). By submitting User Content, you grant Self Systems, Inc. a non-exclusive, transferable, sublicensable, worldwide, royalty-free, fully paid-up license to use, store, process, transmit, reproduce, modify, create derivative works of, and display your User Content as necessary to provide and improve the service, consistent with the Privacy Policy.

User Content that constitutes medical information you submit for clinical care is governed by the Medical Privacy Notice and applicable medical-confidentiality law (including the California Confidentiality of Medical Information Act), not by the license in this Section.

If you provide feedback, suggestions, or ideas about the platform, you grant Self Systems, Inc. a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

9. Disclaimers

THE TEMI PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS FOR ITS TECHNOLOGY COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY LAW, SELF SYSTEMS, INC. DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS, SATISFACTORY QUALITY, AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

Self Systems, Inc. does not warrant that: (a) the platform will be uninterrupted or error-free; (b) any particular pharmacy will fill a prescription; (c) any particular medication will be available; or (d) any particular clinical outcome will result from a telehealth consultation. Pharmacy fulfillment, medication availability, and clinical outcomes are the responsibility of the treating physician and applicable pharmacy, not Self Systems, Inc.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELF SYSTEMS, INC.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID TO SELF SYSTEMS, INC. IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL SELF SYSTEMS, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Self Systems, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your misuse of the platform; or (c) any information you provide through the platform that is inaccurate, misleading, or false.

12. Dispute Resolution

Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions below.

Binding Arbitration. You and Self Systems, Inc. agree to resolve any disputes arising out of or relating to these Terms or your use of the platform through binding individual arbitration. Disputes arising from professional medical negligence, malpractice, or clinical care are governed by the Telehealth Consent and applicable law, not by this provision. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect.

Arbitration Fees. Self Systems, Inc. will pay all arbitration filing fees, administration fees, and arbitrator fees required by the AAA Consumer Arbitration Rules.

Limitations Period. Any claim arising out of or relating to these Terms or your use of the platform must be brought within one (1) year after the claim arises; otherwise it is permanently barred.

Class Action Waiver. You and Self Systems, Inc. agree that any arbitration will be conducted on an individual basis only, not as a class, consolidated, or representative action. If a court or arbitrator determines that this class action waiver is unenforceable as to a particular claim, that claim (and only that claim) shall be severed from arbitration and may be brought in court; all other claims will continue to be arbitrated on an individual basis.

Opt-Out. You may opt out of this arbitration provision by sending written notice to [email protected] or by mail to Self Systems, Inc., Attn: Arbitration Opt-Out, 5900 Balcones Drive Ste 100, Austin, TX 78731, within 30 days of your first acceptance of these Terms. Your notice must include your name, address, the email address associated with your account, and a clear statement that you wish to opt out of arbitration.

Small Claims Exception. Either party may bring an individual action in small claims court for disputes within that court's jurisdiction, provided the action remains in small claims court and proceeds on an individual basis.

13. Modifications

We may update these Terms from time to time. If we make material changes, we will provide you with reasonable notice (such as by email or a notice on the platform) before the changes take effect. Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of the changes. Each version of these Terms will include an updated version number and effective date.

14. Termination

Either you or Self Systems, Inc. may terminate your account at any time. If you have a pending prescription request under physician review at the time of termination, we will complete that review (issuing or declining the prescription, with refunds governed by Section 5.4). Terminating your account does not entitle you to a refund of a Prescription Fee already paid unless you requested a refund before terminating. Membership cancellation is governed by Section 5.2.

Upon termination, your right to use the platform ceases immediately. Sections that by their nature should survive termination (including Sections 7, 8, 9, 10, 11, 12, 15, 16, and 17) will continue in effect.

15. Mail-Order Delivery

Where Temi fulfills a prescription through a mail-order pharmacy partner, the partner pharmacy ships the medication to the address you have provided in your account.

  • Address accuracy. You are responsible for keeping your shipping address current and accurate. Temi is not responsible for shipments sent to an outdated or incorrect address you provided.
  • Carrier risk. Mail-order shipments are carried by third-party shipping carriers selected by the partner pharmacy. Risk of loss or damage to a shipment passes to you upon delivery of the shipment to the carrier. Delivery dates are estimates and are not guaranteed.

16. Service Continuity and Supply Disruptions

Temi cannot guarantee that any particular medication will remain available through our pharmacy partner network. If we are unable to fulfill a prescription for reasons outside our control:

  • We will notify you and, where clinically appropriate, offer alternatives.
  • For active memberships where the unfulfilled prescription is the medication for which you joined, you are eligible for a prorated refund of the Membership Fee covering the unfulfilled portion of your current billing cycle.
  • For non-member prescription requests disrupted by a supply failure, no Medication Fee is charged, and any Prescription Fee paid for that request is refunded. You may also retain the prescription for fulfillment at a pharmacy of your choice.

Refunds under this section are in lieu of, not in addition to, refunds available under other sections of these Terms.

17. General Provisions

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Self Systems, Inc. regarding the platform. The Telehealth Consent and Medical Privacy Notice are separate agreements and notices between you and Temi Medical Group and are not part of this agreement.

No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment. Self Systems, Inc. may assign its rights and obligations under these Terms without restriction. You may not assign your rights or obligations under these Terms without our prior written consent.
